Terms of Service

This contract is between Refine Builders LLC (the "Company") and the homeowner (the "Client"). The Client is hiring the Company for the services described in this contract.
Payments
Any deposit (typically 50%) and all subsequent draws are to be made upon receipt of invoices from the Company. All payment amounts and intervals are required upon completion of each milestone. The Client agrees to pay invoice(s) immediately upon receipt or by the due date(s) specified. Unpaid or overdue invoices may result in immediate late fees, suspension or termination of the Project and legal action. The Client may cancel the contract within 3 business days of signing.
Payment methods
Payment will be made to the Company via cash, check, an approved payment card, or by any other payment method determined by the Company. Proof of payment required for lien waivers.
Performance and Warranty
All work will be performed to NAHB Performance Guidelines and Michigan Residential Code. Services or work completed are warranted to be free from defects in materials or workmanship provided by the company for 12 months. Replacements or repairs are at no extra cost to the Client within the warranty. The Client will be assumed to have accepted the goods and services unless the Client notifies the Company in writing of defects and with pictures within 7 days of delivery or installation.
Authority to sign
Each party has the authority to enter into this Contract and to perform all of its obligations under this Contract.
Termination of contract
The Contract ends within 1 year upon completion of the Project. If one of the Parties chooses to end the Contract prior to Project completion, the severing Party will provide written notification to the other Party. Upon termination, the Company provides accounting of all incurred costs (materials, subcontractors, mileage, etc), and the Client pays undisputed amounts within 10 days. Either party may terminate for material breach upon 10 days’ written notice to cure. If uncured, effective the Project Start Date or Completion Date.
Modifications
The Client and the Company must agree to any changes to this contract in writing. Change orders will adjust the price and the timeline of the project.
Arbitration
All legal matters and disputes are dealt with through Arbitration. Prevailing party recovers reasonable fees/costs. Binding arbitration per AAA rules in St. Clair County, MI. Governing law: Michigan.
Service Specifications and Timelines.
Anything not specifically mentioned in the Estimate is not included. Delays due to force majeure (acts of God, weather or client changes) grant extensions.
